Well, I don't really know of a way off hand that will make your client not think your going to rip them off. Whenever you first do business with someone you run into that factor. I only run into it when I work with people over the computer. I work in such a small community where I live they all know my good name and its a safety net. As far as the "invisible coding" goes you could try encryption ( http://www.google.com/search?hl=en&q...earch&aq=f&oq= ). But, remember if they are smart they decrypt the coding and be able to use it.
I've run into the same problem you have before. What I did was on the design itself I watermarked The-Pixel Copyright over the whole template. If you choice this method make sure they see your company name on it and not just copyright. This way if they do rip your design / coding your company name is over the design and not just copyright.
