We do need link exchange partner especially with those sites that are relevant to yours so that we can higher PR. By doing this also would help you to attract more visitors to your sites....

I noticed that PR doesn't really matter, the most important thing is a 'quality' link from a site of the similar content.

Ask yourself this - if you owned a really popular site, why would you want to make it look rubbish with lots of link exchanges that send away your traffic to less popular sites and make your site look amateurish? I wouldn't! The link exchange bunch that have "already popular sites" either don't really have much traffic, or for some reason don't value it as they are just sending away more traffic than they are gaining.

Google doesn't hate penalization; it hates people messing with it's results and faking the popularity (and therefore credibility) of the sites it crawls.

I prefer one way linking especially if it's organic because Google loves IBLs rather than the "You link me I link you"... Because many are doing that in excessive that's why Google frowned on them...
